These General Terms and Conditions govern the contractual relationship between AcuMax Med AG (hereinafter referred to as "AcuMax") and the customer (retailer, company, end user). Deviating terms and conditions of the customer only apply with the written consent of AcuMax.
2 Offer and order
The offer on www.acumax.ch is non-binding. By placing an order by telephone, fax, e-mail or via the Internet (online shop), the customer submits a binding offer to conclude a contract. The contract is concluded when AcuMax accepts this offer by telephone, fax, letter post, e-mail or by delivering the order. The price in the order confirmation or at the time of delivery is decisive. AcuMax addresses its products to customers domiciled/residing in Switzerland. Foreign customers who wish to enter into a business relationship with AcuMax are requested to contact AcuMax. The products presented on www.acumax.ch are subject to deviations in terms of illustration, design, packaging or technical properties.
3. credit limit
The credit limit for individual dealers is determined by AcuMax. The credit limit is constantly reviewed and, where possible, adjusted to the volume of business.
4. minimum order value
To cover costs, AcuMax reserves the right to introduce a minimum order value at any time. For orders below a net order value of CHF 50, a minimum quantity surcharge of CHF 4.90 will be charged.
5 Shipping and delivery conditions
Dispatch is at the customer's risk and usually ex warehouse. Packaging and shipping costs will be charged to the customer. All delivery dates stated by AcuMax are non-binding unless confirmed in writing. However, items available from stock are usually delivered within 24 hours. If the delivery date agreed in writing cannot be met, AcuMax has the option to deliver within the following 30 days. The customer has no right of cancellation. Unless otherwise stated on the order, AcuMax reserves the right to make either complete or partial deliveries. Claims for damages on the part of the customer arising from late delivery are excluded to the extent permitted by law.
Dispatch by parcel service
Orders above an order value of CHF 150 are delivered free of charge within Switzerland and Liechtenstein. If the order value is less than CHF 150, the shipping costs per parcel are CHF 9.90.
Shipping by forwarding agent
Large deliveries (pallets) as well as treatment tables, medical equipment and similar items are delivered by a forwarding agent or with the AcuMax delivery service and are charged individually according to cost and delivery address.
6 Prices and terms of payment
Our prices are in Swiss francs (CHF). All prices are exclusive of VAT. The customer has the choice of paying in advance or, in special cases, by invoice.
AcuMax reserves the right to change prices after conclusion of the contract if the cost factors relevant for pricing have demonstrably changed.
7 Retention of title
The delivered goods remain the property of AcuMax until all claims have been paid in full. AcuMax is authorised to have a corresponding entry made in the register.
8 Warranty and liability
The customer's warranty claims are limited to the scope of the respective manufacturer's warranty vis-à-vis AcuMax. AcuMax does not assume any guarantee or liability for the desired fulfilment of the purpose of certain products or their functionality within the customer's application. To the extent permitted by law, AcuMax accepts no liability for direct or indirect damage or loss of assets in the event of defects or improper handling of the product.
9 Returns
Returns are only possible in the event of incorrect delivery or production faults. The goods must be inspected immediately upon receipt. Any defects must be reported in writing within 5 working days. A return authorisation number (RMA number) must be obtained from AcuMax prior to any return. The issue of an RMA number does not in any way imply recognition of a defect or other complaints by the customer. The following are generally excluded from return:
- Products that were not purchased from AcuMax
- Products without original packaging
- damaged products
- incomplete products
- Promotions and discount items (remaining stock)
10. safety precautions
By ordering and purchasing products, the customer undertakes to store and use the products properly. The customer is obliged to take all necessary precautions for themselves, patients and furniture. Special safety precautions apply to the use of Moxa, among other things. The customer must obtain detailed information in this regard.
11. data protection
AcuMax complies with the provisions of Swiss data protection legislation when collecting, processing and using personal or company-related data. Personal data is only collected and used for the processing of contractual relationships. This data is only passed on to third parties to the extent that this is absolutely necessary for the proper fulfilment of the contract. In addition, personal data is appropriately protected against access by unauthorised third parties.
12 Place of jurisdiction and applicable law
All obligations arising from the contractual relationship are subject to Swiss law. The place of jurisdiction for all legal disputes arising from the contractual relationship and its creation and effectiveness shall be Bad Zurzach for corporate customers and private individuals.
